Terms and Conditions of Engagement

The following terms apply to all services provided by Terra Nova Group Pty Ltd, unless otherwise agreed in writing:

1. Minimum Engagement Period

The engagement of services with Terra Nova Group Pty Ltd shall be for a minimum period of 12 months from the commencement date unless otherwise agreed in writing.

2. Auto-Renewal

Unless otherwise agreed in writing, this agreement will automatically renew for a further 24-month term on the anniversary of the commencement date. To prevent automatic renewal, either party must provide written notice of non-continuance no later than 30 days prior to the contract end date.

3. Early Termination

If the Client chooses to terminate the agreement before the completion of the initial 12-month minimum engagement period (or any subsequent renewed term), the following fees will apply:

• A fixed early termination fee equivalent to one month’s standard service fee
• A pro-rata fee equivalent to 30% of the remaining service fees due under the contract, calculated from the date of termination to the end of the current contract period

This fee structure represents a genuine pre-estimate of loss based on lost net profit and administrative costs, in accordance with Australian Consumer Law.

If monthly service fees are $1,000 and termination occurs with 5 months remaining:

• Fixed fee = $1,000
• Pro-rata fee = 30% of ($1,000 × 5) = $1,500
• Total early termination fee = $2,500

4. Invoicing & Payment Terms

Invoices will be issued monthly and are payable within 7 days from the invoice date.

5. Late Payment & Outstanding Fees

• Late payments will incur a late fee of 10% per annum on any outstanding balance
• If payment remains outstanding for more than 60 days, services may be suspended until full payment is received. The Client will also be responsible for any debt recovery costs incurred

6. Variation of Terms

Any amendments to these terms must be agreed to in writing by both parties.
